Exhibitor & Sponsor Agreement

1. Introduction
This Exhibitor & Sponsor Agreement ("Agreement") is made between Root ID Private Limited ("TicketRoot", "Company," "we," "us") and the entity ("Exhibitor" or "Sponsor") using TicketRoot’s platform for lead scanning, branding placements, and promotional activities at events. By using TicketRoot’s services, the Exhibitor agrees to the terms outlined in this Agreement.
2. Scope of Services
TicketRoot provides the following services to Exhibitors and Sponsors:
- Lead Scanning & Data Collection – Digital tools for exhibitors to scan and store attendee details.
- Branding & Sponsorship Opportunities – Digital or on-site promotional placements, including logos, banners, and sponsored sections in the event app.
- Networking & Engagement – Tools for attendees to connect with exhibitors or sponsors through TicketRoot’s platform.
Exhibitors and Sponsors must adhere to the event organizer’s guidelines in addition to TicketRoot’s terms.

5. Payment & Refund Policy
- Fees: Sponsorship and lead scanning fees depend on the selected package and event.
- No Refunds: Payments are non-refundable unless TicketRoot fails to deliver the agreed-upon placements.
- Custom Agreements: Enterprise sponsors may enter into a custom agreement for long-term branding opportunities.
6. Compliance with Laws & Event Regulations
- Exhibitors and Sponsors must follow all applicable data protection laws (GDPR, Indian IT Act, etc.).
- Spam & Unsolicited Messages Prohibited: Any Exhibitor found sending spam or unauthorized marketing messages will have their access revoked.
- Event Organizer’s Authority: The event organizer has the final say on exhibitor conduct and compliance.
7. Limitation of Liability
- TicketRoot is not responsible for:
- Any incorrect lead data collected by the Exhibitor.
- Lost sales, revenue, or missed business opportunities.
- Any disputes regarding lead ownership or follow-ups.
- Liability is limited to the amount paid by the Exhibitor for the specific event.
8. Termination & Violation of Terms
- TicketRoot reserves the right to suspend or terminate access if the Exhibitor:
- Violates data protection laws.
- Misuses attendee information.
- Engages in fraudulent, misleading, or illegal marketing.
- Termination is immediate in case of a serious breach.
9. Governing Law & Dispute Resolution
- This Agreement is governed by Indian law.
- Any disputes shall be resolved through arbitration in Mumbai, India, before court proceedings.
